Terms & Conditions of Contracting and Use of TurIA

These Terms and Conditions (the "Terms") govern the contractual relationship arising from the registration, contracting and use of the products and services offered through the website turia.tech and the TurIA platform, owned by Turia Core Limited, a company incorporated in Hong Kong, with registration number 80323428 and registered office at Unit B, 12/F, Hang Seng Causeway Bay Building, 28 Yee Wo Street, Causeway Bay, Hong Kong (hereinafter, "TurIA").
By ticking the acceptance box during registration or contracting, the Client declares that it has read and fully accepted these Terms, as well as the supplementary documents referred to herein (Privacy Policy, Data Processing Agreement and, where applicable, the Particular Conditions of each product). The Client also declares that it has sufficient capacity to bind itself in its own name or on behalf of the entity it represents.
These Terms are of indefinite duration and apply to all services provided through the platform for as long as the Client maintains an active account.

1. Definitions
For the purposes of these Terms:
- TurIA / the Platform: the set of software, applications, dashboards, APIs and SaaS services marketed by Turia Core Limited through turia.tech, including the products described in clause 3.
- Client: the travel agency, operator, professional or legal entity that contracts or uses the Platform. It is the data controller for the data of its own end customers.
- Owner User: the natural person who registers the account, accepts these Terms and is the person responsible for payment and administration. They may create additional users under their responsibility.
- End User: the person who interacts with the Client's services (for example, someone who makes a booking or chats with the AI assistant). TurIA has no contractual relationship with the End User.
- The Assistant: the conversational artificial intelligence agent integrated into TurIA Assistant.
- Plan: the contracted subscription tier, with its associated price and features.
2. Purpose and parties
TurIA is a technology company that develops and markets a software-as-a-service (SaaS) suite aimed at travel agencies and tour operators, with a particular focus on the Spanish-speaking market. The Platform enables automation of customer service, booking management and web traffic analysis, among other features.
These Terms govern access to and use of the Platform under the contracted tier, in exchange for the price published on turia.tech or agreed under a specific agreement.
The parties to the contract are, on the one hand, Turia Core Limited as owner of the Platform and provider of the services; and, on the other, the Client, who registers in its own name as a professional or on behalf of a legal entity, warranting the truthfulness of the data provided.
3. TurIA products and services
As of the date of these Terms, the Platform comprises the following products, which may be contracted individually or in combination:
- TurIA Assistant: a conversational artificial intelligence agent that serves the Client's end customers through WhatsApp and other channels, answering queries and assisting in the booking process according to the configuration set by the Client.
- TurIA Bookings: a booking management and engine system, with no transaction commission (0%), with different plans according to features and volume.
- TurIA Analytics: a cookieless, privacy-respecting web analytics system to measure the traffic and behaviour of the Client's visitors.
TurIA may add new products or features, which will be subject to these Terms and, where applicable, to additional Particular Conditions that the Client must accept before contracting them.
4. Registration, free trial and contracting
4.1. Registration on the Platform
Registration may be carried out by the Client itself from turia.tech or by the TurIA team following a prior demonstration. In both cases, the Client will have access, before contracting, to these Terms, the Privacy Policy, the Data Processing Agreement and the pricing information.
4.2. Free trial
The Client may have a free trial period of fifteen (15) days, during which it may use the Platform at no cost and without needing to provide a payment method. After that period, the Client must contract a Plan to continue using the service; otherwise, access will be suspended.
4.3. Formalisation
Contracting is formalised entirely online by accepting the offer and, where applicable, configuring the payment method. The Owner User who completes this process must have full capacity to represent the Client and to bind it legally.
5. Prices, billing and payment
5.1. Prices and plans
The current prices are those published on turia.tech at any given time. For TurIA Bookings, the current plans are:

Prices are expressed in euros (€) and do not include any applicable taxes, which will be added to the invoice. The other products (TurIA Assistant and TurIA Analytics) and specific agreements are governed by the conditions published or agreed for each one.
5.2. 0% commission
Unlike other platforms in the sector, TurIA does not charge commissions per transaction or by booking volume. The amount payable by the Client is solely the subscription fee of the contracted Plan (plus taxes and, where applicable, separately contracted add-ons).
5.3. Offers and discounts
TurIA may apply discounts or special conditions during commercial campaigns. In such cases, the benefit and its duration will be identified; once the promotional period ends, the ordinary service price will apply from the next billing cycle. The end of a promotion or a special rate will not be considered a price change for the purposes of clause 17.
5.4. Person responsible for payment and payment method
The Owner User is responsible for payment and must keep a valid and current payment method at all times. If the payment method expires or becomes invalid, it must be rectified as soon as possible.
5.5. Billing cycle
The billing cycle may be monthly or annual, depending on the Plan and the option chosen by the Client; annual plans may be subject to specific conditions or discounts indicated at the time of contracting. TurIA will issue the corresponding invoice and the Client may check the status of its billing at any time from its dashboard. Payments are processed by credit or debit card through Stripe, with authentication security guarantees.
5.6. Non-payment
Invoices must be paid when due. Failure to pay will entitle TurIA to suspend the service in accordance with clause 12 and to claim the amounts owed, together with any interest and management costs applicable under the relevant regulations. The account cannot be deleted while amounts remain outstanding.
6. Term, renewal and cancellation
The contract takes effect upon acceptance of the offer and continues as a subscription of indefinite duration, automatically renewable at the start of each billing period, until the Client cancels it.
The Client may cancel its subscription at any time from its dashboard, with no penalty. Cancellation takes effect at the end of the period already paid for, during which the Client may continue using the Platform. After that period, access will be suspended and the data will be retained in accordance with clause 14.
7. Licence of use and white-label
TurIA grants the Client a non-exclusive, non-transferable and limited licence to access and use the Platform for the duration of the subscription, exclusively for the purposes of its own activity and within the limits of the contracted Plan.
As TurIA is a white-label solution, the Client may present the interfaces aimed at its end users under its own brand, to the extent and scope permitted by its Plan. This customisation capability does not imply any transfer of ownership of the software or of the intellectual property rights over the underlying technology, which remain with TurIA at all times.
The Client may not: (i) sublicense, resell, rent or assign the Platform to third parties outside the agreed terms; (ii) reverse-engineer, decompile or attempt to access the source code; nor (iii) present the underlying technology as its own development to third parties.
8. Intellectual and industrial property
The Platform and all its elements —code, architecture, designs, interfaces, models, logos, proprietary texts and graphics— are owned by TurIA or its respective licensors, and are protected by national and international regulations on intellectual and industrial property.
Access to and use of the Platform does not grant the Client any ownership rights over it. The Client undertakes to respect the intellectual and industrial property rights of TurIA and of third parties, and not to reproduce, in whole or in part, the contents of the Platform, nor to use TurIA's trade name, trademark or logo without prior written authorisation.
The white-label capability described in clause 7 constitutes a limited contractual exception relating to the presentation of interfaces to end users, and does not alter the provisions of this clause.
In the event of infringement, TurIA may take any appropriate legal action and claim compensation for the damages caused, including defence costs.
9. Acceptable use and suspension of service
The Client undertakes to make lawful and diligent use of the Platform, respecting the law, morality, public order and the rights of third parties, and not to carry out actions that may damage, overload or impair the service or prevent its normal use by other clients.
TurIA may revoke access, suspend or block use of the Platform, with prior notice to the Client where possible, in particular if any of the following circumstances occur:
- (a) Use of the Platform that breaches these Terms or applicable legislation.
- (b) Fraudulent or improper use, or reasonable indications of suspicious activity. Among others: the use of a single account to operate two or more different companies (each entity or tax ID must have its own account), or use of the Platform for purposes unrelated to the declared activity.
- (c) Inability to continue providing the service for technical reasons or legitimate business reasons.
- (d) Improper use by the users created by the Client, for which the Client is responsible.
- (e) Inappropriate, aggressive or disrespectful conduct towards TurIA staff, whether verbally or in writing.
- (f) Late payment or non-payment of the service under the terms of clause 12.
Suspensions for non-payment will remain in place until the outstanding amounts are paid; reactivation costs, if any, will be borne by the Client.
10. Artificial Intelligence and automated agents
10.1. Nature of the service
TurIA Assistant integrates an artificial intelligence agent designed to assist the Client's end users. The Assistant is an automated system: although it can provide useful answers, its assistance has limits, may contain inaccuracies and does not replace human judgement or attention where this is necessary.
10.2. Configuration and supervision by the Client
The Client is responsible for configuring, reviewing and supervising the behaviour of the Assistant, as well as the information and instructions it provides for its operation. The Client is responsible for the communications the Assistant maintains with its end users on its behalf, including information on products, prices, availability and sales conditions.
10.3. Transparency
TurIA and the Client will ensure that end users are adequately informed that they are interacting with an automated system where appropriate.
10.4. Limits of liability for AI outputs
TurIA does not guarantee the accuracy, completeness or suitability of the responses generated by the Assistant for a specific case, and will not be liable for the decisions that the Client or its end users make based on those responses, without prejudice to clause 16. The AI tools used are selected in accordance with applicable data protection regulations and applying reasonable security measures.
10.5. Changes
TurIA is under continuous improvement. In the event of significant changes in the use of artificial intelligence, it will inform the Client appropriately.
11. Integrations and third-party services
The Platform relies on external services and providers (among others, messaging platforms such as WhatsApp / Meta, payment gateways, infrastructure providers, AI models and third-party APIs) to provide certain features.
The Client acknowledges that the operation of these integrations depends on third parties outside TurIA and is subject to the conditions and policies of those providers. TurIA will not be liable for interruptions, changes, limitations or suspensions that such third parties impose on their services, nor for the Client's breach of those platforms' terms of use (for example, the WhatsApp Business policies).
12. Availability, maintenance and interruptions
TurIA undertakes to seek continuous availability of the service, without this constituting a guarantee of uninterrupted operation.
The service may be interrupted or suspended, in whole or in part, in the following cases:
- Maintenance tasks or the addition of new features, which will be communicated to the Client with reasonable notice where possible.
- Breach by the Client of these Terms or of the Particular Conditions of its Plan.
- Legal requirement or obligation.
- Late payment or non-payment of the service for a period exceeding one month from the corresponding payment date.
- Force majeure or fortuitous events (among others: natural disasters, conflicts, public order disturbances, supply or connectivity outages, infrastructure provider failures, or measures adopted by competent authorities).
During interruptions for reasons not attributable to TurIA, neither TurIA nor the Client will assume liability for the circumstances that occur.
13. Support and customer care
The Client may report incidents, faults or queries through:
- The Platform's dashboard.
- The support email support@turia.tech and, for general or commercial enquiries, info@turia.tech.
- The help centre at turia.tech/help.
The scope, channels and response times may vary depending on the contracted Plan. Support is provided in Spanish and English. Automatic translations into other languages are for guidance only; in case of doubt, the official versions and direct contact with the support team prevail.
14. Personal data protection
14.1. TurIA's dual position
In the processing of data, TurIA acts in two distinct capacities:
- As data controller with respect to the Client's own data (registration, contact, billing and management of the contractual relationship).
- As data processor with respect to the data of the Client's end users that is hosted or processed on the Platform. In this case, the Client is the data controller and determines the purposes and means.
14.2. Data processed as controller
TurIA will process the Client's data for the following purposes: managing registration and the subscription, providing and maintaining the service, managing billing and payment, ensuring the security and traceability of accesses, producing usage statistics to improve the service and, on the basis of legitimate interest in the B2B context, sending commercial and follow-up communications about TurIA products through the contact details provided (email, phone and messaging apps such as WhatsApp or Telegram). The Client may object to these communications at any time.
14.3. Regulatory framework
Turia Core Limited is a company incorporated in Hong Kong and is subject to the data protection regulations of that jurisdiction, in particular the Personal Data (Privacy) Ordinance (PDPO). TurIA applies reasonable and appropriate technical and organisational measures to protect the personal data hosted on the Platform. Compliance with the data protection regulations applicable to the Client's activity —including, where applicable, the European or local regulations affecting it— is the responsibility of the Client in its capacity as data controller.
14.4. Data processing agreement
TurIA makes available to the Client a Data Processing Agreement that regulates the obligations of both parties regarding end-user data. That agreement is available during registration and in the Client's dashboard, and forms an integral part of the contractual relationship. The Client must, in turn, formalise the corresponding agreements with any third party to which it grants access to the Platform.
14.5. International transfers
For the provision of the service, data may be stored and processed in infrastructure and by providers located outside the Client's country of establishment. TurIA applies reasonable security measures regardless of the location of that infrastructure. Where the regulations applicable to the Client's activity require specific safeguards for the international transfer of data, those safeguards will be regulated, where applicable, in the Data Processing Agreement.
14.6. Data subjects' rights
TurIA guarantees the exercise of the rights of access, rectification, erasure, objection, restriction, portability and not to be subject to automated decisions. These rights may be exercised at support@turia.tech. With respect to end-user data, TurIA, as processor, will assist the Client in handling such rights.
14.7. Retention
Unless early deletion is expressly requested, after termination of the contract TurIA will keep the Client's account data available for download, in a commonly used format, for a period of thirty (30) days. After that period, the data will be permanently deleted, except for data that TurIA must retain to comply with legal, accounting or tax obligations (such as billing documentation), which will be kept for the legally required period.
15. Confidentiality and security
Security: TurIA applies appropriate technical and organisational security measures, by design and by default, to preserve the confidentiality, integrity, availability and security of information, and implements improvements proactively. TurIA will not be liable for unauthorised access that third parties achieve by exploiting unknown or unpublished vulnerabilities, nor for information losses arising from force majeure or fortuitous events.
Confidentiality: TurIA and the Client will maintain the strictest confidentiality over the information they access by reason of the contractual relationship, during its term and after its termination. TurIA staff with access to data are bound by a duty of secrecy.
The Client undertakes to notify TurIA, as soon as possible, of any security incident of which it becomes aware.
16. Liability and service limits
TurIA will not assume any warranties or liabilities other than those expressly provided in these Terms, in the Particular Conditions or in applicable mandatory regulations.
To the maximum extent permitted by law, TurIA will not be liable for:
- (i) losses not attributable to its own breach;
- (ii) the Client's business losses (loss of profit, loss of revenue, of contracts, of anticipated savings, of data or of goodwill);
- (iii) indirect or consequential damages not reasonably foreseeable at the time of contracting;
- (iv) errors in subscription prices, which will be communicated to the Client for correction by applying the correct price;
- (v) the failure to operate or the provision of services by third parties outside TurIA, including the integrations in clause 11;
- (vi) losses arising from suspension of the service due to serious breach by the Client under clause 9;
- (vii) the contents, communications or operations that the Client manages through the Platform, including those carried out by the Assistant according to the Client's configuration.
The Client is solely responsible for compliance with the legislation and taxation applicable to its activity. Likewise, the Client will be liable for the damages that TurIA, other clients or third parties may suffer as a result of the breach of its obligations.
If an employee or user contracts or uses the service on behalf of the Client, TurIA will not be liable for incidents arising from departures, terminations or changes not reliably communicated by the Client. To this end, TurIA may provide an access history to verify traceability.
In the event of a change in the applicable mandatory regulations on limits of liability, the limits legally established after such change will prevail.
17. Amendment of the Terms
TurIA may amend these Terms for legal, technical, organisational, operational, economic or market reasons. Where an amendment substantially affects the Client's rights or the economic agreements in force, TurIA will communicate it thirty (30) days before it takes effect, by email to the Owner User.
If the Client does not express its disagreement before the effective date, it will be deemed to accept the changes. In case of disagreement, the Client may terminate the service without penalty on this ground.
18. Termination of the contract
The contract may end for any of the following reasons:
- End of the trial period without contracting a Plan.
- Mutual agreement, or withdrawal by either party under these Terms.
- Voluntary cancellation of the subscription by the Client (clause 6).
- Serious breach by either party, in particular non-payment.
- Supervening impossibility of providing the service.
- Inappropriate conduct by the Client under clause 9.(e).
- Any other cause permitted by applicable law.
In the event of non-payment, in addition to the amounts owed, TurIA may claim any applicable interest and costs, as well as the damages caused. Termination of the contract entails interruption of the service and application of the data retention regime in clause 14.
19. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
Any dispute arising from the interpretation or performance of these Terms will be submitted to the exclusive jurisdiction of the courts of Hong Kong, with the parties waiving any other jurisdiction that may correspond to them. Notwithstanding the foregoing, TurIA may claim payment of the amounts owed by the Client, as well as take appropriate action to protect its intellectual and industrial property rights, before the courts of the Client's domicile or any other competent jurisdiction.
For business contracts of significant scope (for example, Enterprise plans or distribution agreements), the parties may agree in the Particular Conditions to submit their disputes to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC), in accordance with its rules in force.
The provisions of this clause are without prejudice to the mandatory data protection obligations applicable under clause 14.
20. General provisions
- Partial invalidity: the declaration of nullity or ineffectiveness of any clause will not affect the validity of the rest of the Terms, which will remain binding.
- No waiver: TurIA's failure to exercise any right provided in these Terms will not constitute a waiver of it, except by express written acknowledgement.
- Assignment: TurIA may assign its contractual position to group companies or in the context of corporate transactions, informing the Client. The Client may not assign its position without TurIA's prior authorisation.
- Supplementary documents: these Terms are supplemented by the Privacy Policy, the Data Processing Agreement, the Legal Notice and the Particular Conditions of each product.
- Official versions: the binding versions are those drafted in Spanish and English.
